1. Agreement to Terms
By accessing or using ShipDemon’s website, software, or services (collectively, the “Services”), you agree to comply with and be bound by these Terms & Conditions. If you do not agree with these Terms, you may not use the Services. ShipDemon reserves the right to update or modify these Terms at any time. Any changes will become effective immediately upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms.
2. Description of Services
ShipDemon provides shipping and order management tools designed for Shopify merchants. Our platform allows users to:
- Connect and sync All your stores
- View and manage order information
- Check USPS shipping rates
- Generate USPS shipping labels and tracking details
3. Account Registration and Security
To access certain features, you may be required to create an account. You agree to provide accurate and up-to-date information at all times.
You are responsible for:
- Maintaining the security of your account credentials
- Any activity conducted under your account
- Promptly notifying us of unauthorized account access
ShipDemon reserves the right to suspend or terminate accounts containing inaccurate, misleading, or incomplete information.
4. Data Integration and Authorization
By connecting third-party services such as Shopify or USPS, you authorize ShipDemon to access and process relevant data on your behalf. You confirm that you have the legal authority and permissions necessary to grant such access.
5. Shipping Costs
Users are solely responsible for all postage costs, carrier fees, and shipping-related charges associated with labels created through the platform. ShipDemon does not currently process postage payments directly. Label purchases and postage authorization are handled through your connected USPS account or carrier settings.
6. Intellectual Property Rights
The Services, including all content, features, and functionality, are owned by ShipDemon or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain all rights to your data. By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display your data solely to provide and maintain the Services.
The labels, receipts, and other outputs generated by ShipDemon are provided for your business operations. You have the right to use these outputs for fulfillment purposes, but we retain ownership of the underlying software and technology.
7. Prohibited Uses
You agree not to use the Services:
- In any way that violates applicable laws or regulations
- To transmit any material that is defamatory, offensive, or otherwise objectionable
- To attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services
- To collect or track personal information of others
- To impersonate or attempt to impersonate ShipDemon, an employee, another user, or any other person
- To engage in any other conduct that restricts or inhibits anyone's use of the Services
8. Limitation of Liability
To the maximum extent permitted by law, ShipDemon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Services
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Services
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Services
In no event shall our total liability to you for all claims exceed the amount paid by you to ShipDemon during the twelve (12) months preceding the event giving rise to the liability.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
While we strive to provide accurate label data and pricing information, ShipDemon does not warrant that all carrier responses will be error-free. Shipping decisions made using the Services are at your own risk.
10. Indemnification
You agree to defend, indemnify, and hold harmless ShipDemon, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
12. Governing Law
These Terms shall be governed by the laws of the State of Florida, without respect to its conflict of laws principles. Any dispute arising from or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Miami Dade County, Florida.
